By accessing or using the IronClad Financials LLC ("IronClad," "we," "our," or "us") website, client portal, or any related services (collectively, the "Services"), you agree to be bound by this End User License Agreement ("EULA"). If you do not agree to these terms, you must not access or use the Services.
IronClad provides AI-assisted bookkeeping, payroll, financial reporting, controller services, and CFO advisory. The Services are intended for business use and are not consumer financial products. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
Subject to your compliance with this EULA, IronClad grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not permit you to resell, redistribute, sublicense, or create derivative works based on the Services without our express written consent.
As a user of the Services, you agree that you will not:
All content, software, logos, trademarks, trade dress, and materials available through the Services are the exclusive property of IronClad Financials LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Nothing in this EULA transfers any ownership rights to you.
You retain ownership of all financial data, documents, and information you submit through the Services ("Client Data"). You grant IronClad a limited license to use Client Data solely for the purpose of providing the Services to you. IronClad will handle Client Data in accordance with our Privacy Policy.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. IRONCLAD DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, IRONCLAD FINANCIALS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless IronClad Financials LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of this EULA, your misuse of the Services, or your violation of any applicable law or third-party right.
The Services may integrate with or link to third-party platforms (e.g., QuickBooks, Xero, payroll providers). IronClad is not responsible for the availability, accuracy, or practices of third-party services. Use of such services is governed by their respective terms and policies.
We may suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. Upon termination, your license to use the Services immediately ceases. Provisions of this EULA that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.
This EULA shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under this EULA shall be resolved exclusively in the state or federal courts located in Harris County, Texas.
We reserve the right to modify this EULA at any time. Changes will be posted on this page with an updated effective date. Continued use of the Services after any modifications constitutes acceptance of the revised terms. We encourage you to review this EULA periodically.
